Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the alawadi.cloud platform and related services, including container application hosting, managed databases, private container registry, custom domains, and the AI inference API, collectively referred to as the “Services.”
By creating an account, accessing the platform, or using any part of the Services, you agree to be bound by these Terms.
The Services are provided by Alawadi Cloud & DataCenters Colocation Services LLC (“alawadi.cloud,” “we,” “us,” or “our”), the operator of the alawadi.cloud platform.
2. Eligibility and Account
To use the Services, you must be legally able to enter into a binding agreement. You are responsible for providing accurate account information and for all activity that occurs under your account. Access to alawadi.cloud is managed through Google sign-in, and you are responsible for keeping your Google account and authentication method secure.
You may not use the Services on behalf of any person, entity, or jurisdiction subject to sanctions, or for any purpose prohibited by applicable sanctions, export-control, banking, or compliance requirements. We may refuse, suspend, or terminate accounts where necessary to comply with legal, financial, payment, or compliance obligations.
3. The Services and Availability
The Services are provided as a hosted cloud platform. We may modify, add, suspend, or remove features from time to time as the platform evolves. Platform availability is governed by our Service Level Agreement (“SLA”), which provides a 99.9% monthly availability commitment and service credits as your sole and exclusive remedy for covered downtime. Features marked as beta, preview, experimental, or early access, as well as the AI inference API, are excluded from the SLA and are provided on an “as available” basis.
We may perform scheduled or emergency maintenance, apply reasonable usage limits, and enforce per-tenant resource quotas to protect platform stability, security, and fair access for all customers.
4. Acceptable Use
You may not use the Services to host, process, or transmit unlawful, infringing, harmful, abusive, or malicious content; send spam or unauthorized messages; mine cryptocurrency; run denial-of-service, scanning, or network-abuse workloads; attempt to bypass security controls or tenant isolation; access another customer’s data; or violate the rights of others.
You are solely responsible for the applications, container images, data, content, workloads, and traffic you run through the Services, including compliance with all laws, regulations, and third-party rights that apply to them.
We may suspend, disable, or remove any workload, account activity, or content that threatens platform stability, security, compliance, or other customers. Where the risk is urgent or immediate, we may act without prior notice.
5. Your Content and Data Ownership
You retain all rights and ownership in your applications, container images, databases, customer data, and other content you upload, deploy, store, or process through the Services (“Your Content”). We do not claim ownership of Your Content.
You grant us only the limited rights necessary to provide, operate, secure, support, and improve the Services on your behalf, including storing, transmitting, backing up, and displaying Your Content within your account. You are responsible for ensuring that you have the necessary rights to Your Content and for keeping your own backup copies of anything important.
6. AI Inference and Model Output
The AI inference API provides an OpenAI-compatible endpoint powered by open-weight models. Prompts, inputs, completions, outputs, and related metadata may be processed to generate responses, operate the API, maintain security, and measure usage.
AI output is generated automatically and may be inaccurate, incomplete, misleading, or unsuitable for your intended use. AI output is not professional, legal, medical, financial, or other regulated advice. You are responsible for reviewing and validating any AI output before relying on it, and for ensuring that you do not submit content you are not authorized to process. We do not guarantee that AI output will be accurate, reliable, non-infringing, or fit for any particular purpose.
7. Fees, Billing, and Prepaid Balance
The Services are provided on a pay-as-you-go basis and are metered according to the resources you use. Current prices are published on our pricing page and may also be shown in the in-product calculator. Unless stated otherwise, the pricing page is the source of truth for applicable rates.
You fund your account through a prepaid balance. Today, balance can be added through voucher redemption; card and crypto top-ups are not available. If we make another payment method available later, it may be subject to additional terms disclosed before use. Metered usage, fees, taxes, and applicable charges are deducted from your prepaid balance. Rates may change from time to time, and material pricing changes will be reflected on the pricing page before applying to future usage.
If your prepaid balance is exhausted, insufficient, or a payment fails, we may limit, suspend, or stop running resources after any applicable grace period. Continued non-payment may result in deletion of suspended resources and related data.
8. Suspension and Termination
We may suspend or terminate your access to the Services for non-payment, violation of these Terms, abuse, security risk, suspected unauthorized activity, or where required to comply with law, payment, banking, or compliance obligations. You may stop using the Services at any time, and there are no fixed-term contracts unless separately agreed in writing.
Upon termination, your right to access and use the Services will end. We may delete Your Content after the applicable retention period described in our Privacy Policy or other published policies. Refunds, where applicable, are governed by our Refund Policy.
9. Warranties and Liability
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services is limited to the amounts you paid us for the Services during the three (3) months before the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, profits, revenue, goodwill, business interruption, or service downtime.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
10. Changes to These Terms
We may update these Terms from time to time as the platform, Services, or legal requirements evolve. We will post the updated version with a new effective date. Your continued use of the Services after the updated Terms take effect means you accept the revised Terms.
11. Governing Law
These Terms are governed by the laws of the United Arab Emirates, subject to any mandatory laws that may apply. Any dispute arising out of or relating to these Terms will be resolved before the competent courts of the Emirate of Dubai.
